Customer Agreement

Version 1 · en-IN · Effective 2026-10-15

Initial agreement covering the 30-day trial, paid service, cancellation, refunds, customer data and dispute handling.

Parties and acceptance

This agreement is between the subscribing customer and JAGDISH CHIMANLAL PANJAVANI, proprietor trading as NANAK WEB SOLUTIONS, who maintains and operates Compute360 from India. Udyam Registration Number: UDYAM-GJ-20-0013573. Official enterprise address: MAHADEV, JAGDISH PANJAVANI, SONI BAZAAR, KAMDAR STREET, DHORAJI, District RAJKOT, GUJARAT 360410, India. Contact info@nanakwebsolutions.com for support, billing, refunds, legal notices, privacy requests and grievances.

The customer may be an individual, freelancer or organisation. Individuals must be at least 18 years old and subscribe in their own legal name. A person accepting for an organisation must be at least 18 and authorized to bind it. "We" and "us" mean the operator; "you" means the customer. The service records the accepted version, acceptance wording, named customer, customer type, signatory and server timestamp. The version and effective date displayed with this document identify its publication.

Service and orders

Compute360 provides the infrastructure management and related functions included in the selected plan or agreed order. Functions may include cloud and on-premises connections, software operations, inventory, vulnerability assessments, audit reports and AI-assisted explanations. The plan or written order identifies applicable entitlements, fees, term and support level. Separately identified beta or preview functions may change or be withdrawn with appropriate notice.

Support is available through info@nanakwebsolutions.com. A guaranteed uptime percentage, response or resolution time, dedicated support coverage or service credit applies only if expressly included in your written order or a separately agreed service-level agreement. We remain responsible for the service obligations and standards imposed by applicable law.

Trial

A new account receives one trial lasting 30 days from trial activation. The subscription record identifies its activation and expiry. The trial does not automatically convert to a paid subscription or create an automatic charge. Continued paid use requires a separate purchase decision. Trial entitlements are those assigned to the trial plan; creating replacement accounts does not create a right to repeated trials.

After expiry, paid functions require an active subscription and plan restrictions may apply. Contact support about access to existing records or export assistance. Trial expiry does not cancel separately contracted cloud resources or authorize their deletion. Keep independent copies of information needed for your business.

Authorization and operational responsibility

You authorize only access and operations within your rights and configured permissions. Obtain infrastructure-owner and third-party permissions, maintain appropriate access roles, review targets and proposed changes, and keep suitable backups and recovery procedures. The Terms of Use govern prohibited and unsafe uses.

Unless an order expressly includes them, your cloud-provider charges, external licences and other third-party fees are separate from Compute360 fees and remain payable under your contracts with those providers. Review their charges before creating or modifying resources. We do not acquire ownership of your infrastructure by connecting it.

Security assessments are limited by their scope, source data and time. AI outputs may be inaccurate or incomplete and need human review before use. Compute360 does not guarantee detection of every vulnerability, regulatory compliance or a particular business outcome. These limitations do not excuse failure to meet our express obligations or mandatory legal standards.

Fees and renewal

The accepted plan, quotation or written order specifies the amount, currency, billing period, payment arrangements and applicable taxes. Review that information before purchasing. We will not treat a trial signup or acceptance of this agreement alone as authorization to charge you.

Renewals and plan changes are arranged through the available account process or support. Any recurring payment requires your separate express authorization and disclosure of the applicable amount or calculation, interval and cancellation method. Where there is no such authorization, renewal requires a separate purchase or written instruction. An administrator recording a renewal is not itself evidence that you authorized a recurring payment.

We will identify revised prices before you agree to a new period or plan change. A paid current period is not repriced retrospectively by a general policy update. You may raise a billing dispute at info@nanakwebsolutions.com; statutory remedies remain available.

Cancellation and refunds

You may request cancellation by emailing info@nanakwebsolutions.com from your registered address, identifying the account and desired cancellation date. Unless you request earlier closure or applicable law requires otherwise, cancellation ends renewal at the end of the current paid period. Contact us promptly if a future charge or renewal is disputed. Cancellation does not by itself create a refund entitlement beyond this policy or applicable law. Changes to an existing paid plan and any credits require an agreed adjustment; no automatic credit is promised.

You may request a subscription refund within 24 hours after paid subscription activation, provided no service has been used during that paid period. After that period, or once a service has been used, whichever occurs first, the subscription is non-refundable under this commercial policy. This does not restrict refunds, cancellation rights or other remedies that applicable law requires.

For this policy, service use includes running an infrastructure or software operation, performing a scan or assessment, or generating a service report or AI analysis during the paid period. Merely signing in, reviewing legal documents, asking support for help or requesting a refund does not itself count as service use. Earlier trial activity alone does not count as use of the new paid period. Failed, cancelled or queued work will be assessed using the available execution records rather than treated automatically as completed use. An expiry or activation date that you dispute can be reviewed by support.

Send refund requests to info@nanakwebsolutions.com with the account and relevant payment reference. Do not include card credentials. We assess requests using subscription, payment and operation records, explain the decision and communicate the refund amount, method and expected processing time when a refund is approved. Mandatory refund deadlines prevail. Duplicate or unauthorized charges and service failures are assessed separately under applicable law; the commercial 24-hour limit does not dispose of those claims.

Customer data and confidentiality

You retain rights in your data. You authorize us to process it for your requested service, authorized support, security and applicable legal obligations. You are responsible for the authority to submit data and connect systems. For personal data processed on your instructions, those instructions are limited to the agreed service and lawful written requests.

Each party must protect non-public information disclosed for the service that is identified as confidential or reasonably understood to be confidential. Access and use must be limited to the service, authorized assistance and legal duties. These obligations do not cover information lawfully public, independently developed, already lawfully held or lawfully received without restriction. Legally required disclosure is permitted, with notice where lawful and practicable. These duties continue while the information remains confidential.

The Privacy Notice describes hosting, providers, AI processing, international access, retention and requests. Primary hosting uses Azure and MongoDB Atlas with primary storage identified as Mumbai, India; this is not an exclusive residency undertaking for all processing or copies. If you require a specific residency restriction, subprocessor arrangement, transfer mechanism or data-processing agreement, agree it with us before submitting the affected data. This agreement alone does not claim to satisfy every specialized processing requirement.

We will cooperate with lawful requests about security incidents, personal-data rights and return or deletion of customer data as required by applicable law and any separately agreed processing terms. Provider and operational access must be appropriate to the service and applicable requirements. The Privacy Notice does not expand our permission to use customer data beyond a lawful purpose.

Intellectual property

We and our licensors retain rights in Compute360 and its software. You receive permission to use the service during your authorized subscription or trial within the applicable entitlements. Customer data ownership is not transferred. Third-party and open-source licences continue to apply to their components. Use of third-party services may require your separate agreement with the relevant provider.

Restrictions, termination and exit

We may restrict affected access where reasonably necessary for security, material misuse, unlawful activity, non-payment or a binding legal obligation. Where lawful and practicable, we will explain the issue and give an opportunity to remedy it. Urgent protection may require immediate restriction. You may challenge a restriction through support. We may terminate for a material breach that is not remedied after reasonable notice, or where continuation would be unlawful or create a serious unresolved security risk.

You may end the subscription through the cancellation process. Either party may seek remedies for the other's material breach under applicable law. If we discontinue paid service without your breach or a lawful reason to withhold a remedy, we will address unused prepaid service and any additional remedies required by law rather than applying the no-refund policy automatically.

Arrange any required export before access ends and contact support for available assistance. On exit, remove agents and revoke credentials or permissions in your own infrastructure where no longer needed. Stopping access to Compute360 does not automatically stop independently scheduled work, cancel provider billing or remove cloud resources. We will assess return/deletion requests across affected systems, subject to legal retention, security records and disputes, and explain relevant limitations. No fixed automatic deletion or indefinite export-storage guarantee is included.

A pending legal-document review does not itself authorize shutdown or deletion of your independently hosted infrastructure. Any restriction of service access must have a lawful basis under the applicable agreement and cannot remove mandatory rights.

Liability and dispute resolution

Each party is responsible for its own obligations and for loss or damage recoverable under applicable law. This version does not impose a numerical liability cap, a general indemnity, a waiver of consumer remedies or mandatory arbitration. No provision excludes liability or a remedy that cannot lawfully be excluded. The refund policy is not a substitute for remedies for breach, fraud, unauthorized charges or other legally actionable conduct.

Contact info@nanakwebsolutions.com with a description of a dispute so we can seek a resolution. Indian law governs this agreement, subject to mandatory protections applicable to the customer. Competent courts in Rajkot, Gujarat may hear disputes, without preventing a consumer from using another competent court, tribunal, regulator or statutory complaint process. An informal discussion does not suspend a statutory deadline or prevent urgent relief.

Changes, notices and precedence

We publish versions and effective dates and retain earlier versions. We will give reasonable advance notice of material changes through the registered email address or account notices, with shorter notice only where an urgent legal or security reason requires it. We will request explicit acceptance where required. Opening an email, visiting a page or silence is not recorded as acceptance. Changes do not retrospectively remove accrued rights.

If you do not agree to a proposed material change, contact us before its effective date to discuss continued service under the existing agreement or cancellation and applicable remedies. A new publication does not silently amend a separately negotiated agreement contrary to its own terms.

An expressly agreed written variation takes precedence for its identified subject, followed by applicable order-specific commercial terms, this Customer Agreement and the Terms of Use. A specific data-processing agreement governs its processing subject. No document overrides mandatory law, and a general privacy notice cannot waive contractual or statutory data rights. Invalid provisions do not affect the remainder where it can lawfully operate independently.
